Trulieve Q2 Earnings Expected to Show First Rescheduling Tax Benefit
Analysts project the Florida MSO will report material 280E savings in its August 8 filing, the first quarterly test of Schedule III's operational impact.

First Full Quarter Under Schedule III
Trulieve's Q2 2026 report will be the first earnings release to capture a complete three-month period under Schedule III cannabis classification. The DEA published its final rescheduling rule on March 28, 2026, with an effective date of April 1. That gave Trulieve exactly 91 days of Schedule III operations in the quarter ending June 30.
Section 280E prohibited cannabis operators from deducting salaries, rent, marketing, and other ordinary business expenses under the prior Schedule I classification. Companies paid federal tax on gross profit rather than net income. Trulieve reported an effective tax rate exceeding 70 percent in multiple quarters from 2023 through early 2026.
Schedule III reclassification removes that prohibition. Trulieve can now deduct cost of goods sold plus operating expenses, aligning its tax treatment with any other agricultural or pharmaceutical business.
Analyst Consensus Points to Tax Windfall
Wall Street analysts surveyed by FactSet project Trulieve will report adjusted EBITDA of $91 million to $97 million for Q2 2026, up from $78 million in Q1 2026, with the gain attributed almost entirely to lower cash taxes. Revenue estimates cluster around $302 million. That's modest sequential growth but no major operational expansion.
Consensus effective tax rate estimate for Q2 is 28 percent, down from 68 percent in Q4 2025. That 40-percentage-point swing translates to roughly $18 million in quarterly cash tax savings on Trulieve's current revenue base, according to Canaccord Genuity analyst Matt Bottomley.
Investors will scrutinize the footnotes in Trulieve's 10-Q filing to confirm whether the company took full advantage of the new deduction regime or adopted a conservative interpretation pending further IRS guidance. The IRS hasn't yet issued formal regulations interpreting how Schedule III applies to state-legal cannabis businesses that remain federally illegal under the Controlled Substances Act's distribution and possession provisions.
Florida Market Pressure Offsets Federal Gains
Trulieve operates 195 dispensaries across 11 states, with 127 locations in Florida, and faces intensifying price compression in its home market. Florida's medical cannabis program added 43,000 new patients in Q2 2026, but average transaction values declined 8 percent year-over-year as competition from 22 licensed operators pushed flower prices below $30 per eighth in many metros.
Florida same-store sales fell 4 percent sequentially in Q1 2026. Analysts expect Q2 to show a similar or steeper decline. The company hasn't opened a new Florida dispensary since March 2026, focusing instead on optimizing its existing footprint and cutting costs ahead of the state's anticipated adult-use ballot measure in November 2026.
If Florida voters approve recreational cannabis, Trulieve stands to benefit from its dominant retail presence, but the company would face an immediate surge in competition from new entrants and a likely wholesale price collapse in the six months following program launch. The ballot question requires 60 percent approval to pass.
Arizona and Pennsylvania Offset Weakness
Arizona operations contributed an estimated $38 million in Q2 revenue, up 11 percent sequentially, driven by new store openings in Tucson and Scottsdale. Pennsylvania revenue is projected at $22 million, flat quarter-over-quarter, as the state's medical program matures and adult-use legislation remains stalled in the state Senate.
Debt Service Remains Elevated Despite Tax Relief
Trulieve carried $796 million in total debt as of March 31, 2026, with a weighted average interest rate of 9.8 percent and $187 million in current maturities due within 12 months. The company refinanced $350 million of its senior secured notes in January 2026, extending maturity to 2029 but increasing the coupon from 8.0 percent to 9.75 percent.
Even with $18 million per quarter in 280E tax savings, Trulieve faces $78 million in annual interest expense. Q1 2026 free cash flow was $12 million after capex. That leaves limited room for debt reduction or shareholder returns. Analysts expect Q2 free cash flow of $15 million to $20 million, assuming no major one-time charges.
Trulieve has publicly stated it'll prioritize debt paydown over dividends or buybacks through at least the end of 2026. The company suspended its dividend in Q3 2025 after paying $0.12 per share quarterly from 2022 through mid-2025.
What Investors Will Watch on the August 8 Call
Beyond the headline tax rate, investors will focus on three forward-looking signals: Florida adult-use campaign spending, guidance on H2 2026 capex, and any update on M&A strategy. Trulieve has committed $15 million to the Smart & Safe Florida campaign backing the November recreational ballot measure, with CEO Kim Rivers serving as the campaign's public face.
Management is expected to provide an updated capex forecast for the second half of 2026. The company spent $18 million on capex in Q1, well below the $35 million quarterly run rate from 2024 and 2025. Any indication of accelerated buildout in anticipation of Florida adult-use would signal confidence in the ballot measure's passage.
Trulieve has been quiet on M&A since its $2.1 billion acquisition of Harvest Health & Recreation closed in 2021. With Schedule III reducing the tax penalty on acquisitions and several smaller MSOs trading below book value, analysts have speculated that Trulieve could pursue bolt-on deals in Ohio, Maryland, or West Virginia to diversify its Florida concentration. No such deal has been announced.
The earnings call is scheduled for 8:30 a.m. Eastern on August 8, 2026. For full context on Trulieve's financial trajectory and prior quarterly results, see the CannIntel topic hub on Trulieve earnings.
Frequently asked questions
When does Trulieve report Q2 2026 earnings?

How much will Trulieve save from 280E elimination?
Analysts estimate Trulieve will save approximately $18 million per quarter in federal cash taxes due to the elimination of Section 280E restrictions under Schedule III. This assumes the company takes full advantage of newly available business expense deductions.
What is Trulieve's debt load as of Q2 2026?
As of March 31, 2026, Trulieve carried $796 million in total debt with a weighted average interest rate of 9.8 percent. The company has $187 million in current maturities due within the next 12 months.
Will Trulieve benefit from Florida adult-use legalization?
